Welcome to OpenAssist.io

These Terms of Service (“Terms”) govern your access to and use of OpenAssist.io (the “Service”), provided by IANternet Media, a company incorporated in New Jersey (“OpenAssist,” “we,” “us,” or “our”).

By creating an account, accessing the Service, or deploying an AI agent through our platform, you agree to be bound by these Terms. If you do not agree, do not use the Service.


1. SERVICE DESCRIPTION

1.1 What OpenAssist Provides

OpenAssist is a managed deployment and interface platform for OpenClaw AI agents. We provide:

  • Mission Control Dashboard: A web-based interface hosted on Vercel for managing your OpenClaw agents
  • Automated Deployment: Streamlined provisioning of OpenClaw instances on DigitalOcean infrastructure
  • Infrastructure Management: Configuration and maintenance of DigitalOcean droplets running your OpenClaw agents
  • Database Services: Supabase-hosted database for storing tasks, agents, protocols, schedules, and activity logs
  • DNS Configuration: Cloudflare-secured domain setup for direct OpenClaw gateway access
  • Task Management: Kanban board system (Queue → Processing → Confirmation → Completed)
  • Chat Interface: Real-time communication with your deployed agents
  • Protocol Automation: Workflow definitions and scheduling for recurring tasks
  • Multi-Instance Support: Ability to deploy and manage multiple OpenClaw agents per account

1.2 What OpenAssist Is NOT

OpenAssist is not a replacement for OpenClaw. We are a convenience layer that:

  • Does NOT restrict your access to the underlying OpenClaw agent
  • Does NOT modify OpenClaw’s core functionality
  • Does NOT control or own your AI interactions
  • You retain full direct access to your OpenClaw instance via its gateway token and domain

1.3 Third-Party Services

Your use of OpenAssist necessarily involves third-party services:

  • DigitalOcean: Infrastructure provider for agent hosting
  • OpenClaw: The underlying AI agent framework
  • Anthropic/OpenAI: AI model providers (you provide your own API keys)
  • Supabase: Database and authentication services
  • Vercel: Dashboard hosting
  • Cloudflare: DNS and security services

Important: You are responsible for complying with the Terms of Service of these third-party providers. OpenAssist cannot be held liable for their actions, outages, or policy changes.


2. ACCOUNT & ELIGIBILITY

2.1 Account Creation

To use OpenAssist, you must:

  • Be at least 18 years old
  • Provide accurate registration information (name, email, payment details)
  • Maintain the security of your account credentials
  • Use Google OAuth or other supported authentication methods

2.2 Account Responsibility

You are responsible for:

  • All activity under your account
  • Maintaining confidentiality of passwords and gateway tokens
  • Notifying us immediately of unauthorized access
  • Your AI agent’s behavior and outputs

2.3 One Account Per Person/Entity

Each subscription is for a single user or organization. Sharing accounts across multiple users is prohibited.


3. SUBSCRIPTION PLANS & PRICING

3.1 Available Plans

OpenAssist offers three subscription tiers:

Pricing is subject to change with 30 days’ notice to existing subscribers.

3.2 Billing Cycle

  • All plans are billed monthly on a recurring basis
  • Charges occur on the same day each month as your initial subscription date
  • Payment is processed via Stripe
  • You authorize us to charge your payment method on file

3.3 User-Provided API Keys

You must provide your own API keys for:

  • Anthropic Claude (or other LLM providers)
  • Any additional services your agent uses (web browsing APIs, etc.)

OpenAssist does NOT:

  • Provide API keys
  • Pay for your AI model usage
  • Have access to or store your API keys beyond secure environment variables in your droplet

You are solely responsible for:

  • API usage costs incurred by your agents
  • Compliance with AI provider terms (Anthropic, OpenAI, etc.)
  • Managing rate limits and quotas with those providers

3.4 Taxes

Prices exclude applicable taxes (VAT, sales tax, etc.). You are responsible for all taxes associated with your subscription.


4. REFUND POLICY

4.1 7-Day Money-Back Guarantee

  • New subscribers may request a full refund within 7 days of their first charge
  • Refund requests must be submitted via email to support@openassist.io
  • Refunds are processed within 10 business days to the original payment method

4.2 No Prorated Refunds

  • Monthly subscriptions are not prorated for partial months
  • If you cancel mid-cycle, you retain access until the end of your billing period
  • No refunds are issued for unused time after the 7-day window

4.3 Refunds After 7 Days

After the 7-day window, refunds are granted only in cases of:

  • Billing errors (duplicate charges, incorrect amounts)
  • Service unavailability exceeding 72 consecutive hours due to our infrastructure (not third-party providers)

5. SERVICE LEVEL & UPTIME

5.1 No Uptime Guarantee

OpenAssist does not provide a specific uptime SLA. Service availability depends on:

  • DigitalOcean’s infrastructure (their SLA applies to droplet uptime)
  • Vercel’s hosting platform
  • Supabase database availability
  • Cloudflare’s DNS services
  • Internet connectivity

5.2 DigitalOcean SLA

Your OpenClaw agent runs on DigitalOcean infrastructure. DigitalOcean provides a 99.99% uptime SLA for droplets. Claims for DigitalOcean downtime must be directed to DigitalOcean per their terms.

5.3 Planned Maintenance

We may perform scheduled maintenance with:

  • 48 hours’ notice for dashboard updates (Vercel/Supabase)
  • No notice required for security patches or critical fixes
  • Agent downtime during maintenance is typically under 15 minutes

5.4 Service Interruptions We Don’t Control

We are not liable for service interruptions caused by:

  • Third-party provider outages (DigitalOcean, Vercel, Supabase, Cloudflare)
  • AI model provider issues (Anthropic, OpenAI)
  • User configuration errors
  • Internet service provider failures
  • DDoS attacks or malicious traffic
  • Force majeure events (natural disasters, wars, etc.)

6. ACCEPTABLE USE POLICY

6.1 Permitted Use

You may use OpenAssist to:

  • Deploy and manage OpenClaw AI agents for lawful purposes
  • Automate tasks, research, content creation, and productivity workflows
  • Experiment with AI agent configurations and protocols

6.2 Prohibited Activities

You may not use OpenAssist to:

  • Violate any laws or regulations (federal, state, local, or international)
  • Infringe intellectual property rights of others
  • Harass, abuse, threaten, or harm others
  • Generate illegal content (CSAM, terrorist material, etc.)
  • Spread malware, viruses, or malicious code
  • Conduct phishing, fraud, or scams
  • Scrape, attack, or compromise third-party websites without authorization
  • Bypass rate limits or abuse system resources
  • Share account credentials or resell access to the Service
  • Reverse engineer or attempt to extract source code from our dashboard

6.3 AI Model Provider Policies

Your agent’s behavior must comply with:

  • Anthropic’s Acceptable Use Policy (if using Claude)
  • OpenAI’s Usage Policies (if using GPT models)
  • Any other AI provider whose API keys you use

Violations of AI provider policies may result in immediate termination of your OpenAssist account.

6.4 Resource Abuse

Excessive resource consumption (compute, bandwidth, API calls) that degrades service for others may result in:

  • Throttling or suspension
  • Requirement to upgrade to a higher-tier plan
  • Account termination for extreme abuse

7. DATA & PRIVACY

7.1 Your Data Ownership

You retain full ownership of:

  • All content you input (prompts, configurations, uploaded files)
  • Agent outputs and generated content
  • Task descriptions, protocols, schedules, and chat logs
  • Your OpenClaw agent’s memory and conversation history

7.2 How We Store Your Data

  • Supabase Database: Stores tasks, agents, protocols, schedules, activity logs, and user profiles
  • DigitalOcean Droplets: Your OpenClaw agent’s memory files, conversation history, and working data
  • Vercel: Dashboard code and frontend assets (no user data stored)

7.3 Data Destruction Upon Termination

Immediate Deletion:

  • When you cancel your subscription or destroy an agent instance, data is deleted immediately and permanently
  • DigitalOcean droplets are destroyed within minutes
  • Supabase database records (tasks, agents, logs) are deleted from production tables
  • No grace period or recovery window—deletion is instant and irreversible

Backup Retention:

  • Encrypted database backups may persist for up to 90 days for disaster recovery and legal compliance purposes
  • Backups are not accessible to you or restorable after account termination

7.4 Data Export

Before canceling or destroying an agent, you should:

  • Export important data manually via the dashboard
  • Download chat logs and task history
  • Backup agent memory files via SSH access to your droplet (you have full root access)

We do not provide post-cancellation data recovery services.

7.5 Data Use for Service Improvement

We may collect and use anonymized, aggregated usage data including:

  • Feature usage statistics (which protocols are popular, task completion rates)
  • Error logs and performance metrics
  • Dashboard interaction patterns

We do NOT:

  • Read, access, or analyze your chat content, prompts, or agent outputs
  • Use your data to train AI models
  • Share identifiable user data with third parties (except service providers under contract)

7.6 Privacy Policy

Our full Privacy Policy is available at [openassist.io/privacy] and governs data collection, processing, and protection.


8. INTELLECTUAL PROPERTY

8.1 OpenAssist IP

We retain all rights, title, and interest in:

  • The OpenAssist dashboard (UI, design, code, branding)
  • Proprietary deployment automation scripts
  • Documentation, tutorials, and guides
  • The “OpenAssist” name, logo, and trademarks

8.2 OpenClaw IP

OpenClaw is an open-source project. Its licensing terms apply independently. OpenAssist does not claim ownership of OpenClaw.

8.3 User Content License

By using OpenAssist, you grant us a limited, non-exclusive, royalty-free license to:

  • Store and process your data to provide the Service
  • Display your agent configurations in the dashboard
  • Transmit data between services (Vercel ↔ Supabase ↔ DigitalOcean)

This license terminates when you delete your account or data.

8.4 Feedback & Suggestions

If you provide feedback, feature requests, or suggestions, we may use them freely without compensation or attribution.


9. LIABILITY & WARRANTIES

9.1 Service Provided “AS IS”

OpenAssist is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied, including but not limited to:

  • Merchantability, fitness for a particular purpose, or non-infringement
  • Uninterrupted, error-free, or secure operation
  • Accuracy, reliability, or completeness of AI outputs
  • Compatibility with future OpenClaw versions

9.2 No Guarantee of AI Behavior

AI agents are non-deterministic and unpredictable. We do not guarantee:

  • The accuracy, safety, or appropriateness of agent outputs
  • That agents will behave as expected in all scenarios
  • That agents won’t produce offensive, biased, or incorrect content

You are solely responsible for reviewing and approving agent actions.

9.3 Limitation of Liability

To the maximum extent permitted by law, OpenAssist’s total liability for any claims arising from your use of the Service is limited to:

  • The amount you paid to OpenAssist in the 12 months preceding the claim

9.4 Exclusion of Consequential Damages

We are not liable for:

  • Indirect, incidental, special, or consequential damages
  • Lost profits, revenue, data, or business opportunities
  • Costs of substitute services
  • Damages resulting from third-party actions (DigitalOcean, AI providers, etc.)

9.5 What’s NOT Covered

OpenAssist is not responsible for:

  • Third-party service failures (DigitalOcean outages, Anthropic API issues, Supabase downtime)
  • Data loss due to user actions (accidental deletions, configuration errors)
  • Security breaches of third-party providers
  • AI model costs exceeding your budget (you control API usage)
  • Agent behavior causing harm to you or third parties
  • Inaccurate or harmful AI outputs
  • Browser compatibility or internet connectivity issues
  • Loss of data due to immediate deletion policy

9.6 Indemnification

You agree to indemnify and hold harmless OpenAssist, IANternet Media, and our affiliates from any claims, damages, or expenses arising from:

  • Your use of the Service
  • Your AI agent’s actions or outputs
  • Violations of these Terms or third-party policies
  • Infringement of intellectual property rights
  • Harm caused to third parties by your agent

10. TERMINATION

10.1 Termination by You

You may cancel your subscription at any time by:

Effects of cancellation:

  • Access continues until the end of your billing period
  • No refunds for unused time (except within 7-day window)
  • Agent instances are immediately destroyed at period end
  • All data is permanently deleted (no recovery possible)

10.2 Termination by OpenAssist

We may suspend or terminate your account immediately if:

  • You violate these Terms or Acceptable Use Policy
  • Your payment fails and remains unpaid for 7 days
  • You engage in fraudulent activity or abuse
  • Required by law or court order
  • Your agent violates AI provider policies (Anthropic, OpenAI)
  • You use the Service in a way that harms other users or our infrastructure

No refund is provided for terminations due to policy violations.

10.3 Effect of Termination

Upon termination (by you or us):

  • All DigitalOcean droplets running your agents are destroyed immediately
  • Supabase data (tasks, agents, protocols, logs) is deleted permanently
  • You lose access to the dashboard and all stored information
  • Outstanding invoices remain due and payable
  • You may not create a new account without our written permission (if terminated for violations)

10.4 Survival

Sections covering Intellectual Property, Liability, Indemnification, Dispute Resolution, and Governing Law survive termination.


11. MODIFICATIONS TO TERMS

11.1 Updates to Terms

We may modify these Terms at any time. Changes will be:

  • Posted at openassist.io/terms with an updated “Last Updated” date
  • Emailed to registered users 30 days before taking effect (for material changes)

11.2 Acceptance of Changes

Continued use of the Service after changes take effect constitutes acceptance. If you disagree with changes, you must cancel your subscription before the effective date.

11.3 Pricing Changes

Price increases for existing subscribers require 30 days’ notice. You may cancel before the new price takes effect to avoid charges.


12. DISPUTE RESOLUTION

12.1 Informal Resolution

Before filing a formal dispute, you agree to contact us at support@openassist.io and attempt to resolve the issue informally for 30 days.

12.2 Binding Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration instead of court, except for:

  • Small claims court cases (under $10,000)
  • Injunctive relief for intellectual property violations

Arbitration Terms:

  • Administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules
  • Conducted in New Jersey or remotely (video/phone)
  • Arbitrator’s decision is final and binding
  • Each party pays their own costs (unless arbitrator orders otherwise)

12.3 Class Action Waiver

You agree to resolve disputes individually. No class actions, class arbitrations, or representative actions are permitted.

12.4 Opt-Out of Arbitration

You may opt out of arbitration by emailing arbitration-opt-out@openassist.io within 30 days of account creation. Opting out does not affect other Terms.


13. GOVERNING LAW & JURISDICTION

13.1 Governing Law

These Terms are governed by the laws of the State of New Jersey, USA, without regard to conflict of law principles.

13.2 Jurisdiction

For disputes not subject to arbitration, you consent to the exclusive jurisdiction of state and federal courts located in New Jersey.

13.3 International Users

If you access OpenAssist from outside the United States:

  • You are responsible for compliance with local laws
  • Data may be transferred to and processed in the United States
  • New Jersey law still governs these Terms

14. GENERAL PROVISIONS

14.1 Entire Agreement

These Terms, along with our Privacy Policy and Acceptable Use Policy, constitute the entire agreement between you and OpenAssist.

14.2 Severability

If any provision is found unenforceable, the remaining provisions remain in full effect.

14.3 Waiver

Failure to enforce any provision does not waive our right to enforce it later.

14.4 Assignment

You may not transfer or assign your account or these Terms without our written consent. We may assign our rights to affiliates or acquirers.

14.5 Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control (natural disasters, wars, pandemics, third-party outages).

14.6 No Agency

These Terms do not create a partnership, agency, or employment relationship.
